1.Introduction and acceptance of terms
These Terms of Service ("Terms") govern use of the Memora platform ("Memora", "the Service", "we"), including the website, applications, admin dashboard and the photo-delivery service for guests. By creating an account, purchasing a subscription or otherwise using the Service, you confirm that you have read, understood and agreed to be bound by these Terms and by the Privacy Policy.

Two groups of users. Memora is both a SaaS platform for photographers and event organizers (business customers), and a B2C product through which event guests receive their personal photos. Some terms apply to both groups, others to only one — as detailed below.
2.Service description
Memora enables photographers and event organizers to upload photos from events (weddings, corporate events, parties and more) so that each guest automatically receives only their own photos via WhatsApp, SMS or email. Matching each guest to their photos is performed using AI-based face-recognition technology.
We may add, change or discontinue features from time to time. There may be maintenance windows and periods of unavailability. We aim for high availability but do not guarantee uninterrupted, error-free operation. [SLA details pending]
3.Accounts and eligibility
Business accounts may be opened by persons 18 or older with the legal capacity to enter a binding agreement.
You must provide accurate, current details and keep your account credentials confidential.
You are responsible for all activity under your account. Report any unauthorized use to us immediately.
Event guests receiving photos are not necessarily required to open an account; their use is subject to these Terms and the Privacy Policy.
4.Subscriptions, billing and payments
The Service is offered in various subscription plans as detailed on the pricing page. Prices, usage limits and features may change.
Merchant of record & payment provider. Payments are processed by a third party, LemonSqueezy, acting as the Merchant of Record for these transactions. Billing is in U.S. dollars (USD). LemonSqueezy's terms and privacy policy apply to the payment process.
Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
Taxes, VAT or local levies may be added in accordance with applicable law and the Merchant of Record's policies.
Non-payment may result in suspension or closure of the account and loss of access to galleries.
5.Cancellation and refunds
You may cancel a subscription at any time via the admin dashboard or by contacting support. Cancellation takes effect at the end of the current billing period and will not renew for the next period.
Unless required otherwise by mandatory law, payments for a period already used are non-refundable.
The refund policy is also subject to the Merchant of Record's (LemonSqueezy) procedures and to consumer rights under applicable law.

6.Acceptable use
When using the Service, you agree not to:
Upload unlawful, offensive content, or content that infringes copyright or privacy, or that you have no right to.
Use the Service to identify people other than for matching photos within the specific event, or for any surveillance purpose.
Attempt to breach, disrupt, overload, or reverse-engineer the system.
Circumvent security mechanisms, usage limits or permissions.
Use the Service in any way that violates any law, including data-protection and consumer-protection law.
We may suspend or close an account that breaches these Terms.
7.User content and rights
Photographer's photos. The photographer/organizer retains full rights in the photos they upload. By uploading them, they grant Memora a limited license to process, store and deliver them to guests solely to provide the Service.
Guests' images and selfies. A selfie a guest uploads is used solely to find their photos, as detailed in the Privacy Policy, and is not shared with third parties for marketing.
You are responsible for having all rights and consents necessary for the content you upload.
We claim no ownership of user content. The license you grant is solely for operating the Service.
8.Face recognition and biometric processing
The core of the Service involves analyzing faces and producing "face embeddings" — a mathematical vector representation of facial features — to match a guest to their photos. This processing is fully subject to our Privacy Policy, which forms an integral part of these Terms.
Limited use only. Embeddings are used solely for matching within the specific event. We do not sell face data, do not use it to train models, and do not build a cross-event identification database. For full details and to exercise your deletion right, see the Privacy Policy.
9.Photographer's obligation to obtain guest consent
The photographer/organizer bears full responsibility for informing event guests about the photography and the use of the Service, and for obtaining any consent required by law — including consent to processing face data and delivering photos. The photographer/organizer represents and warrants that they have obtained the necessary consents and that their use of the Service complies with applicable law.
The photographer/organizer shall indemnify Memora for any damage, claim or demand arising from breach of this undertaking or from the absence of lawful consent. [final indemnity wording pending counsel]
10.Intellectual property
All rights in the Service, including the software, design, trademarks, logo and content we created, are reserved to Memora or its licensors. You may not copy, reproduce, distribute or create derivative works without prior written approval. Nothing in these Terms grants you any right in Memora's intellectual property beyond a limited right to use the Service.
11.Disclaimers and limitation of liability
The Service is provided "AS IS" and "as available", without any representation or warranty of any kind, express or implied, to the extent permitted by law. We do not warrant that the Service will be error-free, uninterrupted, fully secure, or that face-recognition results will be fully accurate.
To the extent permitted by law, our total liability to you, on any cause of action, shall not exceed the amount you paid us for the Service in the three months preceding the event giving rise to the claim. We shall not be liable for indirect, consequential, special damages or loss of profits. [final liability cap pending counsel]
12.Termination
You may stop using and close your account at any time. We may suspend or terminate the engagement in case of breach of terms, non-payment, or legal requirement. Upon termination, access to the Service will be blocked, and data will be deleted or retained in accordance with the Privacy Policy and legal retention duties.
13.Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts of [city — pending], Israel, shall have exclusive jurisdiction over any dispute. This does not derogate from consumer rights under mandatory law applicable to you.
14.Changes to these terms
